Articles of Organization

The name of this organization shall be the Fox Hill Garden Club, Inc.



The object of this Club shall be to promote the knowledge and appreciation of gardening and to encourage and engage in educational projects relating to conservation, horticulture and civic planting insofar as the foregoing is consistent with the educational and charitable purposes within the meaning of Section 501 (c)(3) of the Internal Revenue Code of 1954.


ARTICLE III - Membership

There shall be five classes of membership in the Club: Active, Inactive, Associate, Affiliate, and Honorary. All Active, Associate and Affiliate members shall be members of the Garden Club of America.

Active: Active members are limited to forty (40). Active members shall hold themselves ready to serve on committees and shall be responsible for the work of the Club. Any active member absent from three (3) meetings per year without adequate written excuse to the Recording Secretary shall be contacted by the Executive Committee.

Inactive: a member with inactive status is one who, upon written request to and at the discretion of the Executive Committee, is relieved from the work of the Club for a period of one (1) year. She is liable for Active dues, but shall not attend meetings, nor have voting privileges. There shall be no more than four (4) inactive members in any one (1) year.

Associate: Associate members are those who have been members for fifteen (15) years or more or have reached the age of seventy (70). They are elected by the Executive Committee upon written application. They shall be relieved of active work. They are not required to conform to the rules of attendance. They may not hold office. They are encouraged, but not required to participate in the work of the Club. They shall pay Active dues to Fox Hill, and may represent the Club as delegates to Annual or Zone meetings of the Garden Club of America if the Club’s quota is not filled by Active members.

Affiliate: Affiliate members may be elected by the Executive Committee upon written application. They are members of the Garden Club of America. They shall have no Club privileges or duties. This class is designed for the member who moves away from her original Club but wishes to retain her membership in the Garden Club of America.  

Honorary: Honorary members are elected by the Executive Committee in recognition of outstanding service to the Club over a period of years. They shall be exempt from Club dues, and are welcome at all Club meetings and activities.


ARTICLE IV -Use of Funds

No part of the assets of the Club and no part of any net earnings of the Club shall be divided among or inure to the benefit of any officer of the Club, any member or any private individual or be appropriated for any purpose other than the purposes of the Club as herein set forth, except that the Club shall be authorized and empowered to pay reasonable compensation for services rendered and to make distributions in furtherance of the purposes set forth in Article II of the Articles of Organization.

No substantial part of the activities of the Club shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the Club shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office.


ARTICLE V -Dissolution

The Fox Hill Garden Club may be dissolved after due notice as prescribed in Article X of the By-Laws and in the manner prescribed by the laws of the Commonwealth of Massachusetts governing charitable corporations. In the event of dissolution, all of the remaining assets and property of the organization shall, after payment of necessary expenses, be distributed to such organization as shall qualify under Section 501 C (3) of the Internal Revenue Code of 1986, or corresponding provisions of any subsequent Federal Tax Law or to the Federal Government, a State or Local government for public purpose, subject to the approval of a court of competent jurisdiction within the Commonwealth of Massachusetts.



The Fox Hill Garden Club shall not permit in their conduct of Club Affairs, any restriction or limitation whatsoever based upon race, color, creed, gender and national origin or employment status.
